The contract documents consist of this agreement, including all general provisions, special provisions, specifications, drawings, addenda, change orders, written interpretations, and written orders for minor changes in work.
Work not covered by the contract documents will not be required unless reasonably inferred as necessary to produce the intended result.
The costs associated with any related work or materials, including but not limited to electrical, drywall, painting, and cabinetry, are not included unless specifically documented in the proposal.
Contractor is not responsible for underground trenching, conduit installation, or supplying conduit for exterior wiring unless specifically included in the proposal.
This proposal is subject to adjustment based on changes in material costs, manufacturing costs, tariffs, duties, or government regulations.
In the event of such changes, Contractor reserves the right to adjust pricing accordingly and will provide written notice detailing any revised costs.
Time is of the essence with respect to the scheduled completion of the tasks outlined in Section D.
If Contractor is delayed in the progress of the work due to owner-requested changes, fire, labor disputes, acts of God, material shortages, or other causes beyond Contractor’s control, the completion schedule shall be extended by a period equal to the duration of the delay.
The payment schedule provided above is intended as a guideline and approximation.
Because Contractor may open, test, configure, and burn-in equipment prior to delivery, all equipment and materials must be paid in full before delivery to the job site.
Payments may not be withheld under any circumstances. Any disputes or legal claims shall be addressed separately and resolved in good faith between the parties.
Final payment shall be due immediately upon substantial completion of the project.
Contractor shall hold Owner harmless from claims made by subcontractors and suppliers resulting from Contractor’s work.
Contractor shall maintain insurance coverage necessary to protect against claims arising under workers’ compensation laws and against damage to the Owner’s property resulting from the performance of this contract.
Owner may order changes, additions, or modifications to the work without invalidating this contract.
All changes must be documented in writing and signed by the Owner.
Contractor shall provide written notification of any additional costs or cost reductions resulting from requested changes within fifteen (15) working days unless otherwise waived in writing by the Owner.
Approved Change Orders shall be paid in full upon acceptance and shall not modify the original contract payment schedule.
In the event of product unavailability, discontinuation, or manufacturer restrictions, Contractor reserves the right to substitute products of equal or greater quality with Owner approval.
Contractor shall not be held liable for delays, cost increases, or performance issues resulting from product discontinuation, allocation restrictions, or manufacturer availability issues.
Contractor warrants all installation labor and workmanship for a period of one (1) year from the date of completion.
Contractor will also assist the Owner in obtaining warranty service for manufacturer-warranted equipment throughout the applicable manufacturer warranty period. Manufacturer warranties remain subject to the terms and conditions established by the manufacturer.
